Vendor & Booth Agreement

1. Event Details:
Event Name: Art on the Block Event Date: September 26, 2026 Event Location: 13025 Lake Blvd. Lindstrom, MN 55405
2. Vendor Responsibilities:
2.1 Proof of Insurance The Vendor agrees to provide proof of insurance coverage to Gladje Gallery no later than September 26th, which must include liability insurance for their booth and products. A certificate of insurance must be submitted, indicating coverage for the duration of the event. If no proof of insurance is provided, the Vendor agrees to take 100% of the liability and responsibility of any damage to property, inventory, personal belongings, injury, or incidents that may occur for the duration of the event. Gladje Gallery is not responsible for any such events that may occur. 2.2 Booth Setup and Takedown
The Vendor is responsible for the setup and takedown of their booth. Setup must be completed by 10am on Saturday, September, 27th and takedown must be completed by 7pm after the event ends, not to begin earlier than 5pm. The Vendor is responsible for all booth materials and equipment. 2.3 Sales Management
The Vendor will manage all aspects of their individual sales, including transactions, pricing, and customer service. The Gallery will not be responsible for any sales disputes or transactions conducted by the Vendor. 2.4 Use of Outdoor Space
The Vendor agrees to use the outdoor space provided responsibly. This includes adhering to any restrictions or guidelines set forth by the Gallery regarding space usage, waste disposal, and safety. The Vendor must ensure their booth setup does not obstruct pathways or other vendors. 2.5 Booth Management
The Vendor is required to manage their booth throughout the entire day of the event. This includes ensuring that the booth remains staffed, presentable, and operational during all event hours. The Vendor must not leave the booth unattended or close before the official end of the event. 2.6 Payment
Vendor agrees to pay the remaining balance of $85 for the booth fee by September 1, 2026
3. Cancellations and Refunds:
Cancellation by Vendor: If the Vendor cancels their participation after September 10th, the Vendor will forfeit their fee. Cancellation by Gallery: If Glädje Gallery cancels the event for any reason, the Vendor will receive a full refund of their fee. 4. Liability and Indemnification:
The Vendor agrees to indemnify and hold harmless Glädje Gallery, its employees, agents, and affiliates from any claims, damages, or liabilities arising from the Vendor’s participation in the event, including but not limited to injury or damage related to the Vendor’s products or booth. 5. Compliance with Laws and Regulations:
The Vendor agrees to comply with all applicable local, state, and federal laws and regulations, including but not limited to health and safety regulations, zoning laws, sales tax, and licensing requirements. 6. Amendments:
This Agreement may only be amended in writing, signed by both parties. Any verbal agreements or modifications are not considered valid. 7. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the state of Minnesota. 8. Entire Agreement:
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or negotiations, whether written or oral.
